Thomson Geer has advised ASX-listed uranium explorer 92 Energy Limited (ASX:92E) on a deal that will bring together three Canada-focused uranium explorers.
Upon completion, the proposed merger will bring together 92 Energy, ATHA Energy Corp and Latitude Uranium Inc.
The combined company will create a Canada-focused uranium exploration company with projects across the country's top three uranium jurisdictions.
Thomson Geer worked closely with 92 Energy's financial advisers and Canadian counsel to advise on the nuanced cross-border, three-way merger structure.
The Thomson Geer team was led by Partner Scott Gibson, who said: "We are pleased to assist 92 Energy on this important transaction, which reflects the market's current appetite for quality uranium assets."
The merger will see ATHA Energy Corp acquire 92 Energy under a scheme of arrangement and at the same time acquire Latitude Uranium by way of a Canadian court-approved plan of arrangement.
Scott was supported by Partners David Church and Michael Ng, Associate Kajal Parmar and Lawyers Dan Smailes and Ariane Moir.
The merger is due to complete in early 2024.
