Thomson Geer has advised the owners of Australia's largest independent air compressor and power generator supplier Complete Air and Power Solutions (CAPS) Australia on its sale to US-based global industrial pump giant Ingersoll Rand.

CAPS, based in Perth, was family-owned for more than 40 years and has 10 offices and over 200 staff around Australia.

Thomson Geer advised CAPS on all aspects of the transaction, including deal negotiations, sale agreements, due diligence and competition law.

The Thomson Geer team was led by Partner Hedley Roost, who said: "We were honoured to have been entrusted by the family owners of CAPS to help them complete the sale of the business they have built over decades."

The acquisition is expected to expand the CAPS portfolio to include additional Ingersoll Rand products, which will provide greater expertise and choice for customers.

The Thomson Geer team included Associate Melissa Oliveri, Lawyer Josephine Singgih, with assistance from Partner Josh Simons, Special Counsel Nadine Frost, Partner Cameron Forbes and Senior Associate Megan Bowman.

The KPMG Perth M&A team also advised on commercial negotiations and financial and tax matters.
