Loan transactions
Acting for financial institutions in relation to loan transactions and securities, including drafting security documentation involving rural properties, water entitlements, livestock and crops.
LBT Innovations
Assisting ASX-listed LBT Innovations throughout the development, prototyping, and commercialisation of its medical technology products. Recently assisted in concluding a A$6 million joint venture based in Switzerland to develop and distribute a diagnostic imaging device.

Acted for Kimberley Ports Authority on port management agreement and associated arrangements for appointing a port manager at the Port of Wyndham, Western Australia.
Major developer
Acting for a major developer in respect to A$1.2 billion in debt facilities. Works included drafting and negotiating loan note subscription agreements, syndicated facility agreements and associated securities, comprehensive due diligence and providing advice on complex financial structures and trust arrangements.
Okeland Communities
Acting for Okeland Communities on its $75 million acquisition of its 252 hectare, 3500+ lot master-planned community site in Bullsbrook, Western Australia.

Television broadcasters
Acting for three broadcasters challenging the imposition of a no-fly zone over public protests that stopped a media helicopter from filming them. The no-fly zone was revoked.

FKP Commercial Developments
Advising FKP Commercial Developments in relation to the Gasworks multi-use development at Newstead, Brisbane. Work included drafting and implementing complex titling arrangements for this significant mixed use master planned development.
QBiotics
Advising on the $130 million merger of the QBiotics Group, by the use of two schemes of arrangement to tophat existing companies, Qbiotics Limited and EcoBiotics Limited, with a new holding company, QBiotics Group Limited.
Australian Finance Industry Association
Acting for the Australian Finance Industry Association (AFIA) on the drafting, development and consultation of the AFIA Car Rental Code of Practice. The Code for members of AFIA, who have approximately 75% of the total market share by revenue of the car rental market in Australia, went live on 1 March 2018.
Codafication
Advising Codafication on deployment of Codafication’s proprietary Virtual Assist, Crunchwork, and Unity Cloud business automation platforms-as-a-service, particularly with Suncorp, QBE, IAG, and other significant insurers and brokers.
Regulator engagement
Advising and representing clients in actions against them by regulators such as the Australian Competition and Consumer Commission alleging misleading or deceptive conduct in relation to advertising claims.
Class actions
Fuel Labelling Class Action: currently defending Mitsubishi Motors in $1 billion diesel emissions consumer class action. Dick Smith Proceedings: successfully defended Deloitte following the collapse of the electronics retailer. QBE: defended securities class action and "common fund" application.
Arbitration
Arranging arbitrations to resolve “on risk” disputes between two life insurance companies.
Oklo Resources M&A
Advising ASX-listed gold explorer, Oklo Resources Limited, in relation to its acquisition by Canada-based gold miner, B2Gold Corp, in a cash and scrip deal valuing the company at A$90 million.
ANZ
Advising ANZ in relation to the leasing of helicopters to the Victorian police and New South Wales ambulance services.
L&A Social M&A
Advising the owner of social media and branding agency L&A Social in relation to the sale of all of the shares in the L&A Social to Tag Worldwide (Australia) Pty Ltd (a subsidiary of Wertheimer UK Limited). The deal enables L&A Social to combine its social media expertise and Tag's strong end to end offering to provide a more holistic service and deliver continued growth for clients and businesses.
InterGrain
Acting for InterGrain, a wheat, barley and oat breeder, in relation to multiple strategic alliances and technology commercialisation, including most recently in relation to the acquisition of a crop breeding program and commercialisation licence.
Solar project
Partner Jae Lemin has experience advising Standard Chartered Bank and GuarantCo, on the project financing of the 28 MW Teknaf Solartech solar project in Cox’s Bazar in Bangladesh. The project was the first utility-scale, grid-connected solar project in Bangladesh and won “Asia-Pacific Solar Deal of the Year” at the Infrastructure Journal awards.
Landfill gas
Acting for a defendant in the class action brought by residents in Cranbourne, Victoria arising out of the escape of gas from an old council landfill which abutted a new residential development. The proceedings settled at mediation on confidential terms.
Security of payment
Acting on large infrastructure related adjudications under Security of Payment legislation ranging from A$1 million to $80 million in Queensland, New South Wales, Victoria, South Australia, Northern Territory, and Western Australia.
J. G. Boswell Company
Advising J.G. Boswell Company on the sale of one of Australia’s largest land, water and infrastructure agribusinesses, Australian cotton grower and producer Auscott Limited to Australian Food & Fibre following a competitive sale process run by PwC.
International arbitration
Acting for multinational resources company in arbitration proceedings under rules of the Singapore International Arbitration Centre, including advice on anti-suit injunction to restrain foreign civil proceedings in breach of arbitration agreement.
Village Roadshow Limited
Acting for Village Roadshow Limited in obtaining a Class Ruling from the Australian Taxation Office confirming the taxation treatment of a return of share capital to shareholders.
Building contracts
Advising for a Government Department in relation to the preparation of standard form building and infrastructure contracts and acting in relation to significant infrastructure disputes.
National sport organisation
Drafting Member Protection Policies including membership applications, Code of Conduct, training materials, management guides and tribunal rules. For a State constituent of the same organisation, advised about constitutional reform, including drafting new constitutions for the umbrella body and its affiliate clubs.
Injunction
Commencing urgent interlocutory injunctive proceedings in respect of misleading or deceptive television commercials produced by the clients’ competitors and managing vigorously contested litigation up to and including final hearing.
CQ Energy
Assisting energy consulting firm CQ Energy on its acquisition by software and services company Energy One in a deal valued at A$36 million. Thomson Geer acted for CQ Energy on all aspects of the acquisition, including a restructure of the firm, tax matters, share agreements, property leases, ASX listing rules and compliance matters.
Overturning deregistration
Successfully acting for major Australian private higher education provider in having a decision of the Commonwealth regulator (TEQSA) to deregister the Australian business overturned and the client’s accreditation was renewed for a further six years.
Sea Harvest
Assisting South Africa-based seafood company, Sea Harvest Group Limited, on the acquisition of the Western Australia fishing assets of leading seafood company, MG Kailis. Thomson Geer advised Sea Harvest on all aspects of the deal, including securing a large number of approvals from a range of state and federal regulatory authorities, as well as assisting Sea Harvest with numerous property approvals, leases, sub-leases and licences.
Cronos Australia
Advising on a merger with CDA Health, one of Australia's largest distributors of medicinal cannabis.
Blackstone
Successfully acting for Blackstone in respect of a significant leasing dispute. Successfully obtained an order and recovered possession of an industrial property and managed responses to statutory Notices to Produce issued by EPA Victoria regarding the tenant's actions.
MACA Ltd
Thomson Geer advised Perth-based ASX-listed mining and infrastructure services company MACA Ltd on the approx. A$350 million takeover bid announced by Thiess.
UniQuest
Acting for UniQuest (the commercialisation company for the University of Queensland) in relation to a range of intellectual property licensing and commercialisation transactions; drafting precedent document for UniQuest including confidentiality agreements and intellectual property commercialisation agreements; Katrina is the primary legal adviser for UniQuest.
Sydney Roosters
Advising National Rugby League club Sydney Roosters on the partnership deal that will see it play home games and finals at the Allianz Sydney Football Stadium for at least the next 25 years when it opens in 2022.
Trustee appointment
Appointed by the NSW Supreme Court as a trustee for sale of a parcel of rural land in NSW during the course of a dispute by the owners of the land.
Dragontail Systems
Advising food technology company Dragontail Systems on its acquisition by restaurant company Yum! Brands via a scheme of arrangement for A$93.5 million.
EPA licence
Advising the receivers and managers of a manufacturing facility on a negotiation of a 10 year EPA licence (the first to be granted by the regulator).
Pro-invest Australian Hospitality
Successfully acting for Pro-invest Australian Hospitality Opportunity (ST) Pty Ltd (as trustee) in defending a $6.1 million Supreme Court of Queensland proceeding commenced by contractor Built Qld Pty Ltd.
Reconstruction
Reconstruction over a two year period of a listed mining services company in relation to syndicated finance facilities culminating in full payment to the syndicated financiers of all monies owed. This involved working with the company (with assets in several countries) in their documentation of agreements with lenders, sale of properties, capital raisings, dealings with hedge fund financiers, consultants Flagstaff and KordaMentha, Banks' agents McGrath Nicol and lawyers in each relevant jurisdiction.
Queensland University of Technology
Acting for Queensland University of Technology in relation to rationalisation of its complex intellectual property ownership and commercialisation agreements with respect to gene edited bananas including drafting and negotiation of a Master Commercialisation Agreement with Australian Banana Research Pty Ltd, and subsequently acting in relation to drafting and negotiation of new research agreements.
Construction finance
Advising on senior and mezzanine financing of construction of a 123 lot mixed residential and commercial development in Bondi Junction, Sydney.
Ingenia Communities
Advising Ingenia Communities on its acquisition of five rental retirement villages and a tourist park. The purchases incorporated 274 senior village rental units and 236 cabin and camp sites. The units are located throughout New South Wales, Victoria, and Tasmania.
Child care centres
Acting for a child care centre incubator client on the sale of a portfolio of childcare centres which formed the cornerstone operating sites to Nido Education Limited's contemporaneous $99.2 million capital raise and listing on the Australian Securities Exchange.
1300Smiles
Acting for ASX-listed Australian dental surgery chain 1300Smiles on its A$165 million sale to trans-Tasman dental operator Abano Healthcare Group.
News Corp
Acting for News Corp Australia in a world-first defamation case brought by a former youth offender, Dylan Voller, in which the High Court held that media outlets are publishers of comments made by third parties on their Facebook pages.
Microba Life Sciences
Assisting gut health business Microba Life Sciences Ltd on its successful listing on the Australian Securities Exchange in an IPO that raised A$30 million.
ReNu Energy
Advising ReNu Energy Limited (ASX:RNE) on its $100 million bioenergy alliance with Resonance Industrial Water Infrastructure Fund (RIWIF). ReNu is an independent power producer which delivers its customers with clean energy products, at a lower price, with no upfront costs.
Licella Holdings
Acting for Licella Holdings Limited in relation to its commercialisation of its patented Cat-HTR technology for conversion of waste feedstocks into biofuels including licensing of international and Australian joint venture entities and advising in relation to participation in a CRC-P Partners Agreement.
EPA prosecutions
Acting for industrial and mining clients in relation to EPA prosecutions in the Land & Environment Court and other enforcement matters.
Domino’s Pizza Enterprises
Advising in relation to all documentation for new franchisees, leases, franchise sales, disposals, acquisitions, ACCC, ASIC and other regulatory compliance and Domino’s IPO, and its international expansion.

Advising residential aged care providers in relation to complex resident issues including security of tenure, substitute decision making and financial arrangements.
Lone Star
Advising Lone Star on its proposed (but ultimately unsuccessful) disposal of a controlling stake in Korea Exchange Bank (to both Kookmin and subsequently to HSBC for approximately US$3 billion).
Concessions
Advising health, educational, charitable, and religious groups on obtaining federal, state and territory revenue concessions for restructuring of their tax exempt entities and dealing with revenue authorities to obtain concessions.
Fashion designer
Advising a well-known fashion designer to understand the Australian privacy and surveillance landscape and how it applies to their retail operations in Australia. The client was developing global surveillance policies and consents for its personnel, and we provided Australian law review.

Advising an offshore life insurance company about selling life insurance policies covering Australian residents.

Acting for The Herald Sun newspaper in a five year campaign to overturn suppression orders in the “Lawyer X” scandal that reached the High Court. Also appeared in The Royal Commission into the Management of Police Informants in relation to the matter.
Bruce Lehrmann defamation
Successfully defending Network Ten against Bruce Lehrmann's defamation case with a judge finding, on the balance of probabilities, that Lehrmann raped Brittany Higgins in a ministerial office in Parliament House.
Southern Palladium
Advising Southern Palladium Ltd on its successful dual listing on the Australian Securities Exchange and Johannesburg Stock Exchange after an oversubscribed A$19 million initial public offering.
Havilah Resources M&A
Advising ASX-listed Australian minerals explorer, Havilah Resources Limited on the proposed A$205 million acquisition of its Kalkaroo Project by OZ Minerals.

Construction company
Thomson Geer won a landmark case clarifying for the Victorian building industry when the 10-year limitation period for commencing a building action takes effect. The win in the Victorian Court of Appeal overturned an earlier Supreme Court decision which held that where multiple occupancy permits are issued for the same building works, the limitation period under section 134 of the Building Act 1993 (Vic) commences on the date of the ‘final’ occupancy permit for the works.

Advising on acquisition of medicinal cannabis research and development company APIRx.
AFSL requirements
Advising a major managed investment scheme manager on all aspects of AFSL requirements.
Submarine contractor
Advising on a large safety due diligence project for a large contractor involved in the sustainment of the Collins Class submarine fleet. This work included the delivery of a governance safety system to ensure leaders can deliver excellence in the governance of safety and compliance with its due diligence obligations under the harmonised Work Health and Safety (WHS) laws.

Negotiating and documenting a A$120 million club facility for the development of Caulfield Racecourse, Melbourne, by Beck group interests.
Australian Express
Involvement in one of the largest civil trade practices cases in Australia’s history involving allegations of contravention of Part IV of the then Trade Practices Act.
Rohde & Schwarz Australia
Advising integrated communications solutions provider Rohde & Schwarz Australia on the awarding of a major contract to supply the integrated communications systems for Australia’s new Hunter class frigates being built in South Australia by BAE Systems Maritime Australia.
Major club – assisting with diversification projects
Assisting major club hospitality group with diversification projects including establishing an innovation and incubation hub, and facility for manufacture of pulp-based products, with international licensors and distribution channels.
Family Zone
Advising ASX-listed cyber safety and security company Family Zone on its acquisition of cyber safety firm Qustodio for US$52 million.
Toll Holdings
Lead adviser to Toll Holdings and other successful parties in their bids and associated contracts for the major port, tug, barge, roro and marine supply base logistics contracts to support the $50 billion Gorgon gas project. These contracts are amongst the largest and most complex marine supply base and logistics contracts ever entered into in Australia.

Advising the SmartSat CRC, a consortium of universities and other research organisations, on its IP management strategies.
