Thomson Geer assists CQ Energy on acquisition by Energy One

Energy consulting firm CQ Energy has been acquired by software and services company Energy One in a deal valued at A$36 million after being advised by Thomson Geer.

Thomson Geer acted for CQ Energy on all aspects of the acquisition, including a restructure of the firm, tax matters, share agreements, property leases and ASX listing rules and compliance matters.

CQ Energy is the leading provider of operational energy services to Australia’s gas and electricity sector.

Its clients include wind farms, solar farms, and large-scale batteries dispatching directly into the National Energy Market. They also include large industrial gas customers who need to access the wholesale gas market.

“The CQ Energy team join Energy One to help it realise its strategy of becoming a global, 24/7 energy software and service business.”

The acquisition by Energy One is its largest to date and expected to increase its EBITDA by about 50 per cent. It follows acquisitions in Belgium and France in 2020 and 2021.

The Thomson Geer team was led by Partner Paul Tanti and included Partner Annabel West, Senior Associate Antonia Li, Associate Hugo MacMillan, and Lawyer Hugo Chapman.
